국제물품매매계약에서 본질적 계약위반의 해석에 관한 연구

Abstract

In the economic internationalization of the modern world, trade is the most prominent sector. In order for countries around the world to become economically connected and develop their own economies, trade markets are flourishing through trade agreements between countries. In this trade market, there are many conflicts that arise as a characteristic of international contracts for the sale of goods. Contracts for the sale of international goods are transactions between parties with different scopes of the law, and the characteristics of various laws that apply to the conclusion of the transaction make it difficult to solve the problem. The way to solve this problem is the CISG (United Nations Convention on Contracts for the International Sale of Goods) Vienna Convention, which reflects the characteristics of the International sale of goods. The CISG is the most successful international convention on the law of contracts for the international sale of goods, to which 95 contracting states including Vietnam, the United States, China and the Republic of Korea are signatories. The purpose of this study is to find out the differences between the CISG and Vietnamese Law, to offer points of attention and solutions to minimize conflicts between the parties. In the conclusion and performance of contracts for the international sale of goods, when one party fundamentally violates its contractual obligations, the other party has the right to cancel the contract and claim compensation for damages. The study focuses on analyzing, comparing relevant provisions and analyzing practical case law on fundamental violations in the CISG and Vietnamese Law to identify deficiencies in the provisions on fundamental violations of Vietnamese Law. From there, some notes are given to Vietnamese enterprises in negotiating, entering into and settling disputes over contracts for international sale of goods. Through research, the basic violation points out different provisions in the contract, loopholes in relevant laws of Vietnam to promote the development of Vietnam's foreign trade.|현대 세계의 경제 국제화에서 무역은 가장 두드러지는 분야다. 전 세계 국가들이 경제적으로 연결되고 자체적인 경제 발전을 위해 무역 시장은 각 국가 간의 무역협정을 통해 활발해지고 있다. 이러한 무역 시장에서 국제 물품매매 계약의 특징으로 발생하는 갈등이 적지 않다. 국제물품매매계약은 법의 효력이 적용되는 범위가 다른 당사자 간의 거래로 거래 체결 시 여러 가지 법이 적용되는 특징은 문제해결에 어려움을 겪고 있다. 이런 특징을 해결하기 위한 방법이 바로 국제물품매매계약의 특성이 반영된 통일된 계약이 CISG(United Nations Convention on Contracts for the International Sale of Goods) 비엔나 협약이다. CISG은 베트남, 미국, 중국, 한국 등을 포함하여 95개 체약국이 가입한 국제물품매매계약법에 관한 가장 성공적인 국제 협약이다. 본 연구의 목적은 CISG와 베트남법의 차이점을 연구하여 당사자 간의 갈등을 최소화할 수 있는 유의점과 해결 방안을 제시하는 것이다. 국제물품매매계약의 체결 및 이행에 있어서 일방이 계약상의 의무를 본질적 위반한 경우, 상대방은 계약을 해제하고 손해배상을 청구할 권리가 있다. 본 연구에서는 베트남법의 본질적 계약위반에 관한 조항의 결함을 파악하기 위해 CISG 및 베트남법의 본질적 계약위반에 대한 관련 조항을 분석, 비교하고 실무 판례를 분석하는 데 중점을 두고 있다. 거기에서 베트남 기업이 국제물품매매계약에 대한 협상, 체결 및 분쟁 해결에 있어 몇 가지 참고 사항을 제공한다. 연구를 통해 기본 위반은 계약의 다양한 조항, 베트남의 대외 무역 발전을 촉진하기 위한 베트남 관련 법률의 허점을 지적한다.
